Contracts and e-signing

What contracts do

You can write a contract, send it to a person by email and let them sign it on a web page by drawing their signature. Contracts belong to a relation. You manage them in the Contracts tab of the relation. Reusable text lives in templates under Settings.

This is an electronic signature: a name, an email address, a drawn signature and a time. It is not a qualified electronic signature under eIDAS.

Before you start

  • Fill in your company name, address and logo in Settings -> Account. Every new contract copies them into its header, so the signer sees your branding.
  • You do not need a connected mailbox. Enydea sends the signing email itself, from your company name at [email protected], not from your own mailbox.
  • Before you send a real contract, send one to your own email address and open it, so you see what the signer sees.

Create a template

  1. Open Settings -> Contracts and click New Template.
  2. On Details, enter Template Name and Description, and choose a Contract Type: Contract, NDA, Agreement, Proposal, Quote or Custom.
  3. On Content, type the text in Contract Content (HTML). You can use HTML formatting. Click Add Section to add titled sections you can drag into order.
  4. On Questionnaire, click Add Field for each thing the signer must fill in. Choose a Type: Text, Text Area, Number, Date, Email, Checkbox or Dropdown. The choices of a Dropdown field can only be typed in the contract itself, under Options (comma-separated), not in the template.
  5. Click Save Template.

Template cards also have Edit, Duplicate and Delete.

Create a contract

  1. Open the relation and click the Contracts tab (Contracts & Documents).
  2. Click New Contract for a blank contract. Click From Template and pick a template to start from its text. From Template only appears when you have at least one template.
  3. On Details, check Contract Name, Description and Type. Set Expiry Date (optional) if the contract should stop being signable on a date.
  4. Adjust Content and Questionnaire if needed.
  5. Click Create. The contract is saved as a draft.

To keep a contract's text for later, open a draft and click Save as Template.

Send for signing

  1. On a draft card, click the send icon (Send for signing).
  2. In Send Contract for Signing, check Recipient Name and Recipient Email. Enydea fills them from the relation, and you can change them.
  3. Click Send.

The signer gets an email with the subject "Contract for signing:" and the contract name, and a Review & Sign Document button. The button opens the signing page on app.enydea.com. The signer needs no Enydea account.

Statuses

StatusMeaning

SentThe signing email went out.
ViewedThe signer opened the signing page.
SignedThe signer signed. The card shows the signed date.
ExpiredThe expiry date passed. The status changes when the signer tries to sign.
CancelledYou cancelled it. The signer can no longer sign.

Use the Status filter and the search box above the cards to find a contract. For a Sent or Viewed contract you can click Cancel. Every card has Duplicate and, in its menu, View / Edit and Delete.

What the signer sees

The signer needs no Enydea account. The page shows these steps:

  1. Review: your logo, company name and address, then the contract name, text and sections, with Sent from, Date and, if set, Expires. The signer clicks Continue.
  2. Questionnaire: if the contract has fields, the page shows Please fill in the required information. The signer clicks Continue to Signing.
  3. Sign the Document: the signer checks Your Full Name and Your Email, draws a signature in the box and ticks the agreement box. Then the signer clicks Sign Document. The button does nothing while the signature box is empty. Clear redraws it.
  4. Document Signed Successfully with the date. A confirmation email with the subject "Signed:" and the contract name goes to the recipient address you entered.

What Enydea records

When someone signs, Enydea stores the name and email address they entered, the drawn signature as an image, the time, the IP address and browser details of the signer, and the answers to the questionnaire. The contract becomes Signed.

The Contracts tab shows the status, recipient name and email, and the sent and signed dates. It does not show the drawn signature, the questionnaire answers or a signed PDF.

Limits

  • Enydea does not check the name or email address typed at signing against the recipient you sent the contract to. The signer can change both.
  • Questionnaire fields marked Required are not enforced. The signer can continue without filling them in.
  • You can only send a draft. To send a contract again, cancel it, duplicate it and send the copy.
  • Whether this kind of signature is enough for a given contract depends on the contract and your country. Ask your legal adviser.
